Terms of Service

1. Purpose

These Terms of Service (“Terms”) govern the advisory services provided under the Quanta Conseil brand, operated by Quanta Conseil - S. Droz, in the fields of IT governance, cybersecurity, risk management, regulatory compliance (LPD/GDPR) and digital strategy.

Any order or engagement implies full acceptance of these Terms.

2. Services

Quanta Conseil provides:

• strategic advisory,
• assessments, diagnostics and evaluations,
• recommendations and roadmaps,
• ongoing or punctual support,
• compliance and architecture-related services.

All services are provided on a best‑effort basis (“obligation of means”), not an obligation of results.

3. Orders and proposals

Proposals issued by Quanta Conseil are valid for 30 days, unless otherwise stated.

An engagement becomes firm when:

• the proposal is signed, or
• the client accepts the order in writing (including electronically), or
• the client enables the actual start of the assignment.

4. Pricing

Prices are expressed in CHF, excluding VAT when applicable.

Pricing may include:

• daily or hourly rates,
• fixed‑price packages,
• additional expenses (travel, documentation, third‑party tools).

All fees are detailed in the proposal.

5. Payment terms

Invoices are payable within 30 days, unless agreed otherwise.

In case of late payment, Quanta Conseil may:

• charge late interest,
• suspend ongoing work,
• charge administrative fees for reminders.

6. Client obligations

The client agrees to:

• provide the information required for the assignment,
• ensure the accuracy of information shared,
• guarantee access to individuals, systems or documents needed,
• respect applicable deadlines.

7. Intellectual property

All documents, methodologies, analyses and deliverables remain the property of Quanta Conseil - S. Droz, unless expressly transferred.

The client receives a non‑exclusive internal usage right.

8. Confidentiality

All information exchanged during the engagement is treated as confidential.
This obligation continues after the engagement ends.

9. Liability

Quanta Conseil is only liable in cases of gross negligence.

Excluded:

• indirect or consequential damages,
• financial losses,
• decisions made by the client based on recommendations.

Liability is capped at the total amount invoiced over the last 12 months.

10. Termination

Either party may terminate in case of material breach, after a written notice remaining unanswered for 30 days.

All work delivered up to termination remains due.

11. Applicable law

These Terms are governed by Swiss law.
Jurisdiction: Boudry (NE), Switzerland.
